Affiliate Program Terms

Short version: NOWScale Affiliates is invite-only. Once you accept these terms, people who join through your links and pay for NOWScale earn you a share of what they pay for a set number of billing periods. Commission waits a hold in case of a refund, then is paid monthly in USD once it reaches the minimum. Disclose that you earn commission, and promote NOWScale honestly. The operative text below governs.

1. About these terms

These Affiliate Program Terms (the “Affiliate Terms”) govern NOWScale Affiliates (the “Affiliate Program”), operated by NOWScale LLC. They supplement our Terms of Service and our Referral Program Terms, which continue to apply. Where these Affiliate Terms and those terms conflict on the Affiliate Program, these Affiliate Terms govern.

The commission rate, the number of billing periods, the hold period, the minimum payout and who your code may bring (the “Affiliate Details”) are shown in your invitation and in Settings > Account > Refer a friend, and form part of these Affiliate Terms. The Affiliate Details you accept stay fixed for your affiliate account unless you accept new ones, except for the changes to your commission that section 4.3 allows.

2. Becoming an Affiliate

NOWScale invites creators to the Affiliate Program at its discretion. An invitation is personal to the account it was sent to and can be accepted until the date it shows. Your account must stay in good standing with a verified email address. One person holds one affiliate account.

3. Your code and links

• You share the same invite link and code you use for Refer a friend, and the links you create in Settings > Account > Refer a friend, up to 50 active at a time, each with its own name and code (such as one per video or post). People who join through any of them after you accept these terms earn you commission instead of Refer a friend rewards. Referrals recorded before you accepted keep the terms they were recorded under.
• Each link shows its own visits, sign-ups and customers and, when your affiliate account earns commission, the revenue and commission it brought. These figures are for your information; the commission shown under Earnings in Settings governs what you are paid.
• Your links may bring the people the Affiliate Details allow, such as accounts that have never paid NOWScale. They never bring yourself, your other accounts or someone acting for you.
• Your audience gets an offer only when a link carries a discount NOWScale made available to you: that discount applies to the first payment of the people that link brings, on the plans and within the use limit or end date it was given with, and the invite page shows it. Refer and earn offers do not apply to people your links bring. NOWScale may withdraw such a discount at any time; from then on the link opens without it. You never receive a discount’s code and may not offer it apart from your links.

4. Commission

4.1 What earns commission

Each paid subscription invoice of the workspace a customer first paid for through your referral earns the commission rate of its booked revenue, net of discounts, taxes and the payment processing fee charged on that payment, in the invoice’s currency, for the number of billing periods the Affiliate Details state. A monthly payment counts as one billing period and a yearly payment as twelve; a yearly payment made while billing periods remain earns commission in full. Token top-ups and other one-off purchases do not earn commission.

4.2 Holds, refunds and chargebacks

Each commission waits the hold period the Affiliate Details state after its invoice is paid, then is approved for a payout. If a payment that earned commission is refunded in whole or in part, or lost in a chargeback, the commission it earned is reduced in the same proportion, even after approval; the reduction is deducted from your next payout. A refund does not end the referral, so the customer’s later invoices still earn commission; a referral whose first payment is lost in a chargeback during its hold ends and earns no further commission.

4.3 Changes to your commission

NOWScale may set a different commission rate or number of billing periods for you, or a partnership that earns no commission (for example, when you are paid under a separate agreement), and tells you by email and in NOWScale when it does. The commission that applies to you is always shown in Settings > Account > Refer a friend. A change applies to commission recorded after it is made; commission already recorded is not affected. If you do not agree with a change, you may end your affiliate account as section 7 explains. While your affiliate account earns no commission, your links still count visits, sign-ups and customers, and section 5 does not apply to it.

5. Payouts

• NOWScale pays approved commission monthly, in United States dollars, once your approved balance reaches the minimum payout. Commission earned in another currency is converted at the rate NOWScale recorded for the payment that earned it.
• Payouts are made outside the Service, by bank transfer or another payment service. We ask for your legal name, country and payout email address. We never store bank account numbers.
• Before your first payout we ask for a tax form (a W-9 for United States persons, or a W-8BEN or W-8BEN-E otherwise). We cannot pay without a valid form, and we may need to withhold tax or delay a payout where the law requires. You are responsible for any tax that applies to commission you receive.
• We cannot pay persons or entities in countries or on lists subject to sanctions that apply to NOWScale LLC.

6. Promotion rules

When you promote NOWScale, you must:

• say clearly, in the content itself and in its language, that you earn commission from purchases made through your link or code;
• describe NOWScale truthfully and only from your own experience;
• follow the Acceptable Use Policy and the rules of every platform you post on.

You must not:

• bid on NOWScale names or trademarks in search or social advertising, or register domains or accounts that use them;
• post your code on coupon, deal or cashback sites;
• send unsolicited messages or spam;
• offer or publish reviews or testimonials that are fake, paid without disclosure or not based on real use;
• present yourself as NOWScale, its staff or an official channel.

7. Suspension and ending

NOWScale may suspend or end your affiliate account for a breach of these Affiliate Terms or of the terms they supplement, or when the Affiliate Program changes or ends. While an affiliate account is suspended, your links bring no new referrals, and commission your existing referrals earn waits, with your payouts, until it is reinstated. You may end your affiliate account at any time by contacting us. After an affiliate account ends, no new commission is earned; approved commission is still paid, except commission obtained through a breach, which we may cancel.

8. Our relationship

You take part as an independent contractor. Nothing in these Affiliate Terms creates employment, agency, partnership in the legal sense or a joint venture, and you cannot bind NOWScale. You may use the NOWScale name only to describe the Service and your referral.

9. Privacy

We process your affiliate account, your links and the visits, sign-ups and customers each one brought, the paid invoices that earned commission, and the payout and tax details you give us, as our Privacy Policy explains. Tax forms are stored encrypted and every access to them is recorded. The people you bring see only what the invite page shows; you see how many visits, sign-ups and customers each link brought, never who they are.

10. Changes

We may change these Affiliate Terms or the Affiliate Program at any time. New Affiliate Details apply to invitations sent after they take effect; your accepted Affiliate Details stay yours unless you accept new ones, except as section 4.3 allows. The “last updated” date at the top of this page shows when the current version took effect.

11. General
